Terms of service

These Terms of Service (“Terms”) govern your access to and use of the Meegy website, mobile web experience, and related checkout (collectively, the “Services”) provided by Zapnow, Inc. (“Zapnow,” “we,” “us”). By using the Services or placing an order, you agree to these Terms and our Privacy policy.

1. Eligibility

You must be at least the age of majority in your jurisdiction to make a purchase. If you use the Services on behalf of a business, you represent that you have authority to bind that organization.

2. Changes

We may modify these Terms at any time. The “Last updated” date reflects revisions. Continued use after changes constitutes acceptance except where applicable law requires express consent for material changes to consumer rights.

3. Products, pricing, and descriptions

We strive for accurate listings, images, and specifications. Minor typographical errors, color variance due to displays, or packaging changes do not entitle you to a remedy beyond those in our Return and refund policy. We may correct pricing errors before acceptance; if we cancel an order due to a manifest error, you will receive a full refund of amounts paid.

4. Orders and acceptance

Checkout displays an invitation to treat. Your order is an offer. We may accept or decline orders for any lawful reason (inventory, fraud risk, export restrictions). Contract formation occurs when we send shipment confirmation or expressly accept the order.

5. Payment

You authorize us and our payment partners to charge your selected payment method for the total at checkout, including applicable taxes and shipping. You represent that payment information is accurate and you are authorized to use the instrument.

6. Shipping and risk of loss

Shipping terms are described in our Shipping policy. Risk of loss and title pass as set forth there and under carrier terms, except where mandatory consumer laws provide otherwise.

7. Returns and refunds

Returns and refunds are governed exclusively by our Return and refund policy, incorporated by reference.

8. Limited license to use the site

We grant you a limited, revocable, non-exclusive, non-transferable license to access the Services for personal, non-commercial shopping. You may not scrape, reverse engineer, circumvent security, probe vulnerabilities, or use automated means that impose unreasonable load.

9. Intellectual property

Meegy branding, logos, site design, text, graphics, and software are owned by Zapnow or its licensors. No rights are granted except the limited license above. Trademarks may not be used without prior written permission.

10. User content

If you submit reviews, photos, or other content, you grant Zapnow a worldwide, royalty-free license to host, reproduce, display, and adapt that content for operating and promoting the Services. You represent you have the rights to grant this license and that content is lawful and non-infringing.

11. Third-party services

Shopify, carriers, analytics tools, and payment networks are independent third parties. Your use of their services may be subject to additional terms.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAPNOW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (OTHER THAN LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW) WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO ZAPNOW FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE CLAIM.

14. Indemnity

You will defend, indemnify, and hold harmless Zapnow from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your violation of third-party rights.

15. Dispute resolution; governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. For consumers, mandatory venue and dispute rules in your country of residence may override this section where required.

Except where prohibited, you and Zapnow agree that exclusive jurisdiction for disputes will lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

16. Export and sanctions

You may not purchase for export or end use in embargoed countries or by denied parties prohibited by U.S. or applicable export control laws.

17. Severability; assignment

If any provision is unenforceable, the remainder remains in effect. We may assign these Terms in connection with a merger or sale of assets; you may not assign without our consent.
